ScanSticker Go Terms of Service
Effective date: October 25, 2026
These terms are the agreement between ScanSticker LLC and the service business that signs up for ScanSticker Go. The owner accepts them for the business by ticking the box beside the linked terms at sign-up. If you do not agree to them, do not use the service.
1. Who these terms cover
1.1 "ScanSticker", "we" and "us" mean ScanSticker LLC, a Virginia limited liability company.
1.2 "The Company" and "you" mean the business that creates a ScanSticker Go account. The first person to sign in creates the account and becomes its owner, and confirms they have authority to accept these terms for the Company.
1.3 "Users" are the people the Company lets into the app: the owner, admins and technicians.
1.4 "Your customers" are the people and businesses the Company serves. They do not sign in and are not parties to these terms. Their relationship is with the Company, not with us.
1.5 ScanSticker Go is offered only to businesses in the United States, for business use. It is not meant for household use or for children. Every user must be at least 18 years old.
1.6 These documents are part of this agreement: the Subscription Terms, the Acceptable Use Policy, the Manual Library and Copyright Policy, the Privacy Policy and the Data Processing Addendum, each published on our website. On billing, renewal and cancellation, the Subscription Terms control. On your customers' personal data, the Data Processing Addendum controls. Stickers are sold under the terms shown when they are ordered.
2. The service
2.1 ScanSticker Go is an iPhone app for the Company's staff, with web pages for the Company's customers. It covers service requests, jobs, estimates, invoices, payments, a price book, sales tax arithmetic, equipment records with QR stickers, manuals and documents, a shared manual library, a shared parts library, a scheduler and notifications. A QuickBooks Online sync may be offered later; it works only if the Company connects it. Some features in these terms, such as estimates, the customer page, saved cards, bank payments, export and archiving customers, are not offered yet; where a section says so, it describes how the feature will work once it is.
2.2 Stickers. Scanning a ScanSticker QR sticker opens a public page that shows the Company's name and phone number, the equipment's name (and its photo, once the page shows one), where the unit sits in the building (for example, Kitchen), and a request form. It never shows the unit's model or serial number. A sticker only identifies a machine. It never grants access to records and never unlocks paid features. A sticker that is replaced or lost is Voided: its page then says only that it is no longer in use, with the Company's name and phone number. Sticker codes are never reused.
2.3 Reading text from photos. The app can read the text on a photographed nameplate, or a part number on a manual page, using Apple's text recognition on the iPhone itself. If ScanSticker switches on nameplate reading by its server, the nameplate photo is instead sent to ScanSticker and read with an AI service named in the Privacy Policy, and the iPhone reads it if that fails. Parts-page photos are not sent to us or anyone else for reading. Reads can be wrong, so the technician confirms or corrects every value, and the Company is responsible for what it saves. Typed entry is always available.
2.4 Work captured without signal stays only on that phone until it syncs. Issuing invoices and taking payments need a connection.
2.5 ScanSticker Go is not a payment processor, tax adviser, accountant or lawyer, and nothing in it is legal, tax or accounting advice.
3. Accounts and roles
3.1 Users sign in with Sign in with Apple or a code sent to their email, keep their Apple account and email secure, and do not share access. Tell us at support@scansticker.com if an account was used without permission.
3.2 Roles.
- Owner: everything, including the subscription, the Stripe connection, settings and taxes, and export and deleting the Company once the app offers them.
- Admin: any team member the owner names. Everything the owner can do except the subscription, the Stripe connection and deleting the Company.
- Technician: sees customers, equipment and their own jobs. Sees prices only while "Technicians see prices" is on, and invoices and collects on their own COD jobs only while "Technicians invoice and collect" is on. Cannot change taxes or settings, void, reverse or charge a saved card.
3.3 Seats. The subscription covers the owner. Each admin and each technician uses one paid team seat, which the owner buys on our website; there is no limit on the number of seats. During the free trial, team members are free. The Subscription Terms, section 1.2, have the details.
3.4 Keep the Company's details and the owner's email current. We send important notices to the owner's email.
3.5 Changing the owner. The owner can make an existing admin the new owner. Both of them must confirm. Ownership cannot pass to anyone who is not already an admin. The subscription belongs to the Company and stays with it: the new owner manages it from then on and can replace the payment method on our website (Subscription Terms, section 2.4).
4. The owner's responsibility for team members
4.1 The Company is responsible for everything its users do in the service, as if the Company had done it itself.
4.2 The owner decides who gets access (including from personal phones), each person's role and how the technician switches are set, and removes access promptly when someone leaves.
4.3 The Company makes sure every user follows these terms and the Acceptable Use Policy.
4.4 On my way. The "On my way" button opens the technician's own Messages app with a prefilled note to the customer. The technician sends that text from their own phone, which may be a personal number. ScanSticker does not send it. The Company is responsible for those texts and can hide the button for the whole team in settings.
5. Your subscription
5.1 ScanSticker Go costs $19.99 a month per Company, which covers the owner, plus $9.99 a month for each team seat, plus any tax we must collect. There is no free plan.
5.2 The subscription is sold only on our website, at app.go.scansticker.com, once those pages open, and ScanSticker LLC bills it through Stripe, our payment processor. Until then, a new Company's free trial starts when it is created in the app, and pilot access is set up by ScanSticker. The app links to our website to subscribe and to manage billing. Apple does not sell or bill the subscription. Only the owner can start, change or cancel it.
5.3 New Companies get a 14-day free trial, with no payment details asked for. The trial never turns into a paid subscription on its own: if it ends without one, the app becomes read-only with a prompt to subscribe, and nothing is deleted. If the owner subscribes during the trial, the Company keeps its free days and the first charge comes when the trial ends. A subscription renews monthly until cancelled on our website. Cancelling stops the next renewal, the Company keeps full use to the end of the month it has paid for, and part months are not refunded. The Subscription Terms cover the trial, renewal, seats, failed payments, cancellation, refunds and price changes.
5.4 The app also becomes read-only when a cancelled subscription reaches the end of its paid period, or when a renewal payment still fails after a grace period of 14 days, during which the payment is tried again, the owner is reminded and the Company keeps full use. Read-only means nothing new can be created or changed, while users can still view records and the owner and admins can still export them. Requests from your customers still arrive, and your customers can still pay through links already sent. We do not delete the Company's data for nonpayment, so that a Company that subscribes again finds all its records as it left them. A customer's 30-day deletion hold (section 12.4) pauses while the account is read-only. The owner can still delete the Company, which cancels the subscription at once (section 12.5). The Subscription Terms, section 7, have the details.
5.5 Pilot companies. A Company that joins ScanSticker's pilot does so under a separate pilot agreement, which may give it a free period and requires it to share manuals with the library (section 9.3). Where the pilot agreement and these terms differ, the pilot agreement controls for that Company.
5.6 Stickers are bought separately.
6. Payments through your own Stripe account
6.1 To take card or bank payments in the app, the owner opens a new Stripe account for the Company from the app. Linking a Stripe account the Company already has is not offered in this version. The Company is the merchant of record for every payment its customers make. Stripe processes those payments under the Company's own agreement with Stripe, and the money goes into the Company's Stripe account. ScanSticker is not a bank or money transmitter and never holds your customers' funds. By opening the account, the Company agrees to Stripe's Connected Account Agreement, which includes the Stripe Services Agreement.
6.2 Your customers can pay through the app with the pay code on the technician's screen, with Tap to Pay on iPhone once Apple approves it for ScanSticker, or by card from the emailed invoice link. Once they are offered, they will also be able to pay by bank, pay deposits from the estimate approval page, and be charged on a saved card by the owner or an admin. Cash and checks are recorded by hand.
6.3 Our fee. ScanSticker takes an application fee of 0.5% of the whole amount of each payment made through the app, tax and deposits included. It is figured on each payment, rounded to the nearest cent (half a cent rounds up), and capped at $5 on a bank payment. Cash and checks are free. Stripe takes our fee out of the payment and sends it to us. If a bank payment fails before it clears, our fee on it is returned, so we keep no fee on a failed bank payment. Stripe's own processing fees are separate and charged by Stripe. Before the owner opens the Stripe account, the app shows the full rate: Stripe's fee plus ours.
6.4 No surcharges. The app does not add a surcharge for paying by card, and the Company agrees not to add one through the app, including as a price book item.
6.5 An invoice shows Paid only after Stripe confirms the payment. Once bank payments are offered, a bank payment shows as pending until it clears. If it fails, the amount is owed again and the owner is told.
6.6 Refunds and disputes. The Company issues refunds in Stripe, and they then show in the app. When a payment is refunded in full or in part, we return the same share of our fee. Disputes and chargebacks are between the Company, its customer and Stripe, and dispute fees are charged to the Company's Stripe account. A disputed payment shows as Disputed and the owner is told. If the Company loses a dispute, the amount shows as owed again and our fee is not returned. We do not decide disputes.
6.7 Card and bank details go to Stripe, not to our servers.
7. Your duties toward your own customers
7.1 Prices and terms. The Company sets its own prices, payment terms (COD or Net), estimate validity, deposits and the customer terms shown with its estimates, and is responsible for them.
7.2 Amounts. Your customers see the amount before they pay. The Company makes sure the lines, prices and taxes behind it are right.
7.3 Receipts. The app emails a receipt for each payment to the customer's email on file. When there is none, the Company gives a receipt another way.
7.4 Refunds. The Company sets its own refund policy, tells its customers how to ask for a refund or raise a problem, and answers them. We are not the contact for your customers' refunds or complaints.
7.5 Saved cards (not offered yet; this applies once they are). A customer may choose to save a card when paying. The Company keeps the consent wording shown in the app unchanged, charges a saved card only for amounts that customer owes on an invoice, makes sure a receipt goes out for each charge (the app emails one), and removes the card when the customer asks. Only the owner and admins can charge a saved card.
7.6 Bank debits (not offered yet; this applies once they are). When a customer pays by bank, Stripe's debit authorization is shown to the customer. The Company debits only as that authorization allows.
7.7 Estimates. Estimate approval is not offered yet. Once it is, your customer approves an estimate on their own device, from the emailed link or the customer page, by agreeing to sign electronically and typing a name. There is no approval on a technician's phone. The approver's name, the date and time, how they approved and the exact version approved are recorded. A signed approval is kept as a locked record, like an invoice, including after its customer is archived or deleted (sections 12.3 and 12.4). The Company decides whether that is enough for its work, and whether to require a customer signature when completing a job (a company setting, off for new Companies).
7.8 Emails sent for you. The app sends service emails about the Company's work. Today these are request confirmations, invoices and receipts; appointment emails, estimates and reminders will follow as those features are added, with reminders and appointment emails on by default. The Company can change the reminder wording or turn reminders off, and is responsible for wording it changes and for having its customers' email addresses lawfully. The app sends no marketing email.
7.9 Customer page links (not offered yet; this applies once they are). The Company can send a customer a private link to a page with that customer's equipment, history, open invoices and estimates. There is no password, so anyone holding the link can see the page. A link lasts 90 days after it is sent, and each contact has one active link at a time. A link also stops working when its customer is archived, or when the contact's email changes or the contact is removed. The owner or an admin can switch a link off at any time, and the contact can turn off their own link from the page; the Company can then send them a new one. Send it only to a contact on file, and switch it off when that contact should no longer see it.
7.10 The public sticker page does not show equipment photos yet. If it does later, do not use one that shows people, documents or anything private. The Company is also responsible for the licenses, permits and other rules that apply to its trade.
8. Sales tax, in plain words
8.1 The Company is the seller, so the Company alone is responsible for its sales tax: what is taxable, the rates, registering, collecting, filing, paying each agency and keeping exemption certificates.
8.2 What the app does:
- It holds the named taxes and the combined rate the Company types in for each tax area. If the Company chooses, it also holds how a rate is split between the agencies it is paid to.
- It applies those taxes to the price book items the Company has tagged with them.
- It does the arithmetic: each named tax is rounded once to the cent on its taxable total, then divided by agency where the Company has split it.
- It freezes the tax on every issued invoice and never changes it afterward.
- It stops and asks when a state has no rates set up.
- It totals tax by agency and period in a tax report.
8.3 What the app never does. It never looks up, suggests, hints at, checks or decides a tax rate, and never decides whether something is taxable. We do not know or check tax rates or how tax is split between agencies. If a rate the Company enters is wrong or out of date, its invoices will carry that rate.
8.4 Exempt customers. The Company decides whether a customer is exempt, attaches the certificate and is responsible for whether the exemption is valid.
8.5 We charge tax on the subscription where we are required to. We sell and bill the subscription ourselves on our website (section 5.2), so we, not an app store, are responsible for any tax on it.
9. The shared manual library and the parts library
9.1 The manual library. ScanSticker keeps one central library of equipment manuals (service manuals, parts manuals and wiring diagrams), matched by make and model, that staff at every Company using ScanSticker Go can open. It grows from manuals that Companies upload. Manuals are for staff only and are never shown to your customers.
9.2 How a manual is shared. Each manual upload shows a box, "Share with the ScanSticker library", ticked unless the uploader unticks it. A manual saved with the box ticked, for a make on ScanSticker's list of makes and at least one model, is added to the library at once. No person at ScanSticker reviews a manual before it is shared, though automated checks may hold one back for review (section 9.11). We may remove any manual at any time, and members can report a manual (section 9.6). An unticked manual stays private to the Company. Turning sharing off later does not remove a copy already in the library; deleting or replacing the manual can (section 9.10). Other documents and photos the Company stores, and anything attached to its own customers or jobs, are never added to the library. What the library keeps of a manual is the file, its type, its make and its models. It never keeps the Company's name, the person who uploaded it, the document's title, the unit, the customer, the site, the serial number or any note, and we remove the file's hidden document details (such as author and title) when we copy it.
9.3 Pilot companies. For a Company in ScanSticker's pilot, sharing manuals with the library is a condition of its pilot agreement, so the box is ticked and cannot be unticked.
9.4 Your license to us. For each file the Company shares with the library, and for the part data described in section 9.5, the Company grants ScanSticker a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license, sublicensable to other Companies and our service providers, to store, copy, index, format, display and make the file or data available within ScanSticker Go. This survives deletion of the file, the account or this agreement. The Company keeps whatever rights it has in the file. We will not sell manuals separately or publish them on the open web.
9.5 The parts library. Part numbers and descriptions the Company adds to a unit are recorded against that unit's make and model and offered to other Companies as suggestions, under the license in section 9.4. A suggestion is added to a unit only when a user chooses it. Prices, costs, quantities, the Company's name, the person, customers, sites, serial numbers and notes are never shared. Deleting a part from a unit does not remove it from the parts library.
9.6 Reports and removal. Any user can report a library manual or a suggested part as the wrong model, the wrong part, containing customer information, a copyright problem or something else. We may remove any manual or part, block every manual of a make whose manufacturer objects, and limit a Company's sharing. The Manual Library and Copyright Policy sets out how we handle reports and copyright notices.
9.7 Your promise. Each time the Company uploads a manual with sharing on, or adds part data, it promises that:
- it has the right to share the file this way, because it owns it, the publisher allows sharing, or it has permission;
- it has removed customer details first: the file contains no customer names, addresses, prices, service notes, signatures, handwriting or other private information;
- the file is not confidential, not restricted to dealers, and not covered by an agreement that bars sharing;
- sharing it breaks no law.
9.8 No promise about content. We do not promise any manual or suggested part is accurate, current or right for a unit. The Company follows the manufacturer's safety instructions and is responsible for its work.
9.9 Copyright complaints go to our designated agent, named in the Manual Library and Copyright Policy, which also sets out the notice, counter-notice and repeat-infringer process.
9.10 Removing or replacing a shared manual. When the Company deletes a manual it shared, the app asks whether to remove it from the library too. If the Company is the only one that contributed that file, it is taken down at once; if other Companies contributed the same file, the request goes to ScanSticker staff, who decide. "Replace with a cleaner version" swaps the Company's file for a new one and retires the old library copy the same way. On a unit, the Company's own manual of each type is shown first, with library copies of the same type under "Other versions".
9.11 Automated checks. ScanSticker may run automated checks on manuals shared with the library, using an AI service named in the Privacy Policy, to spot problems such as markup or annotation layers, reseller watermarks, customer details and poor scans. A manual the checks flag stays private to the Company until ScanSticker staff review it, and may never be shared. The checks are an aid, not a review or a promise: the Company's promises in section 9.7 still apply.
9.12 Manual finder. For a unit onboarded with a make and model but no manual, ScanSticker may, after 7 days, look for the manufacturer's official page for that manual, using the same AI service with the make, model and equipment type only. ScanSticker stores a link, never a copy of the manufacturer's file, and the link shows as a manual only after the Company confirms it. Sites that block automated access are left alone, and the unit stays on "Needs a manual".
10. Acceptable use
The Company and its users follow the Acceptable Use Policy. We may remove content or suspend access as that policy describes.
11. Your data and your customers' data
11.1 "Company Data" is everything the Company and its users put into the service, such as customer details, equipment, photos, jobs, invoices and documents. The Company owns it. We host, copy, process and display it only to provide the service to the Company, and to run the manual library, the parts library and the list of makes as sections 9 and 11.4 describe.
11.2 For information about your customers, the Company decides what is collected and why, and we process it on the Company's behalf. We use it only to provide the service, do not sell it, and do not market to your customers. The Data Processing Addendum sets this out in detail. Our Privacy Policy covers information about users.
11.3 The Company collects its customers' information lawfully, gives any notices the law requires, and handles their requests to see or delete it, with our help where the app allows. Invoices, payments, signed estimate approvals and the exemption certificates that support exempt invoices stay as locked records even then (section 12.4).
11.4 Makes the Company adds may join ScanSticker's list of makes after we check them. A make name carries no customer information.
11.5 We may use information about how the service is used, and data that cannot identify the Company or any person, to run, secure and improve ScanSticker Go.
11.6 Security. We protect Company Data with safeguards suited to its sensitivity and keep each Company's records separate from every other Company's, except for what the Company shares with the libraries under section 9. If we confirm that Company Data was accessed without permission, we tell the owner within 72 hours of confirming it and help the Company meet its own notice duties.
11.7 Our service providers are listed in the Privacy Policy.
12. Export, archiving and deletion
12.1 Export is not offered in the app yet. Once it is, the owner and admins can export the Company's records at any time, including while the account is read-only. An export contains a spreadsheet for each kind of record and PDF copies of invoices and estimates. We email the owner each time anyone exports.
12.2 Any user can delete their own account from inside the app. A team member who does so is signed out and removed from the Company, and the owner is told. Records that user created, such as jobs, notes and invoices, belong to the Company and stay with it. The owner cannot delete their own account while they own the Company: they first make an admin the owner (section 3.5), or ask for the Company to be deleted (section 12.5).
12.3 Archiving a customer (not offered yet; this applies once it is). A customer cannot be archived while it has an open job, an unpaid invoice, a pending bank payment or active child customers. An archived customer is read-only: its records stay visible and searchable, but it cannot be edited and gets no new jobs, requests, estimates or invoices. Archiving ends the customer's page links, and while it is archived its stickers show a neutral "not in use" page. The owner or an admin can restore an archived customer at any time. We never delete an archived customer on our own, whether or not the subscription is paid.
12.4 Deleting a customer (not offered yet; this applies once it is). Only an archived customer can be deleted, and only by the owner or an admin, on purpose. The app first warns what will be deleted and what will be kept, and asks for the customer's name to be typed to confirm. The customer is then shown as "Deleting" for 30 days, during which the owner or an admin can restore it. When an admin deletes a customer, we tell the owner. The 30 days pause while the account is read-only (section 5.4) and resume when the Company pays again. When the 30 days end, we permanently delete its record, sites, equipment, photos, notes, jobs, requests, estimates and documents, and its stickers become Voided; sticker codes are never reused. Its invoices, payments, signed estimate approvals and the exemption certificates that support its exempt invoices are kept as locked records and are not deleted automatically. Each kept invoice carries what it needs to stand alone (names, addresses, lines, tax and the work summary), and each kept approval holds the approved estimate, the approver's name, the time and how they approved. Manuals already shared with the library and part data already in the parts library stay there (section 9.4), unless removed under section 9.10. Export anything you want before the 30 days end.
12.5 Deleting the Company. The app does not yet let the owner delete the Company; until it does, the owner asks for deletion by emailing support@scansticker.com, at any time, including during the trial or while the account is read-only. Once the app offers deletion, it will offer an export of the Company's records first. Deleting the Company cancels its subscription at once, so no further charges are made, and deletes the owner's sign-in. The rest of a month already paid is not refunded (Subscription Terms, section 6). Invoices, payments, signed estimate approvals and supporting exemption certificates stay as locked records (section 12.4). Manuals and part data the Company shared stay in the libraries under section 9.4.
13. Other companies' services
13.1 ScanSticker Go relies on Apple, Stripe and our own service providers, and on QuickBooks Online only if the Company connects it. Their terms apply to the Company's use of their services. We are not responsible for their outages, decisions or changes, and may have to change a feature when they change theirs.
14. Availability, support and changes
14.1 We work to keep ScanSticker Go available but do not promise it will always be available or free of errors. We may pause it for maintenance, with notice where we can. Features that need someone else's approval, such as Tap to Pay on iPhone, may not be available.
14.2 Support: support@scansticker.com.
14.3 We may add, change or remove features. Before removing a core feature, we tell the owner 30 days ahead where we can, and the Company may cancel.
14.4 We tell the owner about material changes to these terms, by email or in the app, 30 days before they take effect. Using the service after that date means accepting them; a Company that does not agree can cancel first.
15. Our property and your license to use the app
15.1 We own ScanSticker Go: the app, its software and design, the sticker link system, the list of makes, and the manual and parts libraries as collections, meaning their selection, organization and indexing. We do not claim to own the manuals in the library; their rights stay with whoever holds them.
15.2 While the subscription or trial is active, the Company and its users may use the app for the Company's business under a limited, non-exclusive, non-transferable, revocable license, on Apple-branded devices they own or control and as Apple's App Store usage rules allow.
15.3 The Company and its users may not copy, decompile, disassemble or reverse engineer the app or the service, or try to extract its source code, except where the law allows it despite this limit. They may not resell, rent or sublicense the service.
15.4 We may use ideas or feedback the Company sends us without owing anything. The ScanSticker name and logo may not be used without our written permission.
16. Disclaimers
16.1 SCANSTICKER GO IS PROVIDED "AS IS" AND "AS AVAILABLE". BEYOND THE PROMISES WRITTEN IN THESE TERMS, AND AS FAR AS THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
16.2 IN PARTICULAR, WE DO NOT PROMISE THAT THE COMPANY'S TAX RATES, TEXT READ FROM PHOTOS, LIBRARY MANUALS OR SUGGESTED PARTS ARE CORRECT, THAT SUGGESTED PARTS FIT A UNIT, THAT EMAILS ARE DELIVERED, THAT PAYMENTS SUCCEED, OR HOW STRIPE OR APPLE WILL ACT. THE COMPANY IS RESPONSIBLE FOR ITS TRADE WORK AND THE SAFETY OF THE EQUIPMENT IT SERVICES.
17. Limits of liability
17.1 Neither party is liable to the other for lost profits, lost revenue, lost data beyond what can be restored, or indirect, special or consequential damages, even if told they were possible. This does not limit the Company's duties under section 18.
17.2 Our total liability for all claims under this agreement is limited to the amounts the Company paid us under this agreement in the 12 months before the event that gave rise to the claim.
17.3 We are not liable for taxes, penalties or interest that result from rates, taxability choices or exemptions the Company set.
17.4 These limits do not apply where the law does not allow them, or to the Company's duty to pay amounts it owes, its duties under section 18, or its breach of section 15.3 or the Acceptable Use Policy.
18. Indemnity
The Company will defend ScanSticker against claims by others, and pay the resulting losses, costs and reasonable legal fees, when the claim comes from the Company's work, prices, terms, refunds or dealings with its customers; its sales tax rates, collection or filing; files it uploads and part data it adds; texts and emails it or its users sent or edited; or a breach of these terms or the Acceptable Use Policy by the Company or its users. We will tell the Company promptly about a claim, let it control the defense, and help reasonably at its cost; the Company will not settle a claim that admits fault for us without our consent.
19. Confidentiality
19.1 Each party keeps the other's non-public business information that it receives through ScanSticker Go confidential, uses it only for this agreement, and shares it only with people and service providers who need it for that purpose and are bound to keep it confidential. This does not cover information that is public through no fault of the receiving party, that it already had or developed on its own, or that the law requires it to disclose (with notice to the other party where the law allows).
19.2 Manuals and part data shared with the libraries under section 9 are not the Company's confidential information. Company Data is also protected by section 11 and the Data Processing Addendum.
20. Suspension and termination
20.1 The owner can cancel the subscription at any time as the Subscription Terms describe, and can delete the Company from the app.
20.2 We may suspend a user or the Company to stop a security threat, a serious breach of the Acceptable Use Policy or harm to others, or when the law requires it, and tell the owner why, in advance where we can.
20.3 We may end this agreement for a material breach not fixed within 30 days after notice, or at once for fraud, illegal use or attacks on the service. We may end ScanSticker Go for everyone with 90 days' notice.
20.4 When the agreement ends, access ends, except that, once export is offered, the owner and admins can still export the Company's records for 30 days afterwards (unless we ended it for an attack on the service or illegal use). Amounts already owed stay owed. Sections 6.6, 9.4 to 9.12, 11, 12 and 15 to 22 continue to apply.
21. Disputes and arbitration
Please read this section carefully. It means disputes are decided by an arbitrator, not a judge or jury, and only one party's claims at a time.
21.1 Informal resolution first. Before starting arbitration or a court case, the party with the claim writes to the other (to us at the address in section 22.1; to the Company at the owner's email), describing the claim and what it asks for. Both sides then try in good faith to settle it for 30 days.
21.2 Binding arbitration. Any dispute arising from or relating to ScanSticker Go or this agreement, including whether this section applies, that is not settled under section 21.1 is decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in effect when the arbitration starts, except as section 21.4 allows.
21.3 How the arbitration runs. There is one arbitrator. The seat of arbitration, and any in-person hearing, is in the City of Virginia Beach, Virginia. For a claim under $25,000, the arbitration is decided on documents or by video hearing only, unless the arbitrator decides an in-person hearing is needed. The arbitrator applies the laws of the Commonwealth of Virginia, and judgment on the award may be entered in any court with jurisdiction. Fees are paid as the AAA's rules provide, unless the arbitrator decides otherwise.
21.4 Exceptions. Either party may bring an individual claim in small claims court if it qualifies there. Either party may also ask a court for an injunction or other equitable relief to protect its intellectual property or confidential information, or to stop misuse of the service, without first going through sections 21.1 to 21.3. Any such court case is brought in the state courts for the City of Virginia Beach, Virginia, or the United States District Court for the Eastern District of Virginia, Norfolk Division, and each party agrees to their jurisdiction.
21.5 Individual claims only. Each party brings claims only on its own behalf, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not combine more than one party's claims or award relief to anyone not a party.
21.6 Jury waiver. Each party gives up any right to a jury trial for any dispute covered by this agreement, including a case in court under section 21.4 or 21.7.
21.7 If part of this section fails. If the class and representative waiver in section 21.5 is found unenforceable for a claim, that claim (and only that claim) is decided in court under section 21.4, never in class or representative arbitration. If any other part of this section is found unenforceable, the rest still applies.
21.8 Time limit. A claim must be brought within one year after it arose, or it is barred.
21.9 Governing law. The laws of the Commonwealth of Virginia govern this agreement, without regard to its conflict-of-law rules, and the Federal Arbitration Act governs this section.
22. General
22.1 Notices. We send notices to the owner's email or in the app. The Company sends legal notices to ScanSticker LLC at 1657 Chenier Arch, Apt 104, Virginia Beach, VA 23451 and support@scansticker.com. The Company agrees to receive notices electronically.
22.2 Apple. These terms are between the Company and ScanSticker only, not Apple, and ScanSticker, not Apple, is solely responsible for the app and its content.
- Apple has no duty at all to provide maintenance or support for the app.
- If the app fails to meet a warranty that applies, the user may notify Apple, and Apple will refund the price paid for the app, if any (the app is free to download). As far as the law allows, Apple has no other warranty duty for the app, and any other claim, loss or cost from a failure to meet a warranty is ScanSticker's responsibility to the extent these terms make it so.
- ScanSticker, not Apple, is responsible for any claim about the app or its use, including product liability claims, any claim that the app fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If anyone claims that the app or its use infringes their intellectual property rights, ScanSticker, not Apple, is responsible for investigating, defending, settling and discharging the claim.
- Each user confirms they are not located in a country subject to a United States Government embargo or designated as a "terrorist supporting" country, and are not on any United States Government list of prohibited or restricted parties.
- Users must follow any third-party terms that apply when using the app, such as their mobile carrier's.
- Questions, complaints or claims about the app go to ScanSticker at the address in section 22.1.
- Apple and its subsidiaries are third-party beneficiaries of these terms and, once the Company accepts them, may enforce them against the Company as a third-party beneficiary.
22.3 This agreement, with the documents in section 1.6, is the whole agreement about ScanSticker Go. The Company may not transfer it without our written consent; we may transfer it to a business that takes over ScanSticker Go. If part of it is unenforceable, the rest still applies. Not enforcing a term once does not waive it. Neither party is liable for delays beyond its reasonable control. Your customers are not beneficiaries of this agreement; Apple is, only as section 22.2 says.
